By clicking “I Agree,” checking a related box, or otherwise affirmatively accepting these Terms and Conditions, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree, you should not create an account or use the Service. You also authorize any party acting on your behalf who accepts these Terms to bind you to this Agreement.

Important Notice on Dispute Resolution: Unless you properly opt out, any disputes between you and us (including providers, pharmacies, and labs associated with the Service) will be resolved through binding arbitration. You waive your right to a jury trial and to participate in class actions. Details are provided in the section below.

Emergency Situations: If you are experiencing a medical emergency, call 911 or seek immediate in-person emergency care. The Service is not appropriate for all medical conditions.

1. Company and Service Overview

VITL Healthcare (“VITL,” “we,” “our,” or “us”) owns and operates the website www.vitl.life and any related applications or platforms (the “Platform”). The Platform provides access to healthcare and wellness-related products and services, including prescription and non-prescription products, laboratory testing services, telehealth consultations, and related digital tools (collectively, the “Service”).

Your use of the Service, including all content, products, and features, is subject to this Agreement.

2. Acceptance of Terms

By accessing or using the Service, you agree to comply with this Agreement and all applicable laws. If you do not agree, you may not access or use the Service. We reserve the right to modify these Terms at any time. Updates become effective when posted on the Platform. Continued use of the Service after changes are posted constitutes your acceptance of those changes.

3. Relationship with Providers, Pharmacies, and Labs

VITL Healthcare facilitates access to independent healthcare providers (“Providers”), licensed pharmacies (“Pharmacies”), and laboratories (“Labs”). While these third parties deliver professional medical, pharmacy, or lab services, VITL Healthcare itself is not a healthcare provider and does not practice medicine.

By using the Service, you understand that:

• Any diagnosis, treatment, or prescription is provided solely by independent Providers.

• Prescription products may be filled through one of our partner Pharmacies or a pharmacy of your choice.

• Laboratory services are provided through partner Labs and may require a valid provider order.

You may establish a doctor-patient or provider-patient relationship with a Provider, but no such relationship is established with VITL Healthcare.

4. Eligibility and Limited Use

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. Certain services (e.g., acne treatment with topical products) may be available to users aged 13–17 years old, provided they have verified parental or guardian consent.

Use of the Service may be restricted based on your geographic location due to state-specific regulations.

5. Subscriptions

Some products and services are sold on a subscription basis. By enrolling in a subscription, you authorize recurring charges to your payment method until you cancel.

• Renewals may be billed up to two (2) days prior to the scheduled renewal date for continuity.

• You can cancel at any time via your online account or by contacting our customer support. Cancellations take effect at the end of the current billing cycle.

• Refunds for partial subscription periods are not offered unless required by law.

• We reserve the right to modify subscription pricing with prior notice.

6. Prescriptions and Lab Services

• Prescription products require a valid consultation and approval from a healthcare provider.

• Certain prescriptions may only be fulfilled through specific Pharmacies.

• Lab testing services are available only when ordered by a Provider through the Platform.

• Prescription and lab products are classified as “Third-Party Goods and Services.”

7. Privacy and Health Information

Your privacy is important to us. Please review our Privacy Policy for details.

While VITL Healthcare is not a “covered entity” under HIPAA, some associated Providers, Pharmacies, or Labs may be. Any health information you provide will be handled in compliance with applicable privacy laws.

8. User Accounts and Security

You must create an account to use certain features. You are responsible for:

• Maintaining accurate information,

• Safeguarding your username and password,

• Logging out after each session.

We are not responsible for unauthorized access to your account resulting from your failure to secure login credentials.

9. Prohibited Conduct

You may not use the Service to:

• Engage in illegal, fraudulent, or harmful activities,

• Attempt to gain unauthorized access to systems,

• Upload harmful code or spam,

• Misrepresent your identity,

• Infringe on intellectual property rights.

Violations may result in account suspension or termination.

10. Payment and Terms of Sale

• Prices are subject to change.

• Applicable taxes and shipping charges will be displayed at checkout.

• We accept valid payment methods only and reserve the right to cancel orders in cases of error or suspected fraud.

• Title and risk of loss pass to you upon delivery to the carrier.

   

11. Intellectual Property

All content on the Platform is the property of VITL Healthcare or its licensors. You are granted a limited, revocable, non-transferable license to use the Service for personal purposes only.

12. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” VITL Healthcare disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free access.

13. Limitation of Liability

To the fullest extent permitted by law, VITL Healthcare is not liable for indirect, incidental, consequential, or punitive damages. Our liability for direct damages shall not exceed $1,000.

14. Indemnification

You agree to indemnify and hold harmless VITL Healthcare, its affiliates, Providers, Pharmacies, and Labs from any claims, damages, or expenses arising from your use of the Service or your violation of this Agreement.

15. Dispute Resolution & Arbitration

All disputes arising from this Agreement or your use of the Service will be resolved through binding arbitration in accordance with the rules of the National Arbitration & Mediation (NAM).

• No class actions or representative claims are permitted.

• Arbitration will be held in Texas, unless otherwise agreed.

• You may opt out of arbitration within 30 days of first accepting these Terms by providing written notice.

16. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to conflict of law rules.

17. Termination

We may suspend or terminate your access to the Service at any time, without notice, for violations of these Terms or as otherwise required. Certain provisions (including disclaimers, limitations of liability, indemnification, and arbitration) will survive termination.

18. Entire Agreement

These Terms, along with our Privacy Policy and any other policies posted on the Platform, constitute the entire agreement between you and VITL Healthcare regarding your use of the Service.
